Terms of Service

1. Who we are
Outlet Pricer is a pricing software service for grocery outlet stores, provided by IMA LLC, a Colorado limited liability company (“IMA LLC,” “we,” or “us”). These Terms of Service govern your access to and use of Outlet Pricer, including the website at outletpricer.com and the application at app.outletpricer.com (together, the “Service”).
By creating an account, starting a trial, or paying for a subscription, you agree to these terms on behalf of yourself and the business you represent (“you”). If you do not agree, do not use the Service.
2. The Service
Outlet Pricer lets your team scan products, apply your discount rules, and save prices to your store’s pricing profile. The Service is offered to businesses, not consumers. You must be at least 18 years old and authorized to bind your business to use it.
We may improve, change, or discontinue features over time. If we make a change that materially reduces the core functionality of a plan you pay for, we will notify you in advance.
3. Accounts
You are responsible for the accounts you create, for keeping login credentials secure, and for all activity under your company’s account, including activity by employees you invite. Tell us promptly at support@outletpricer.com if you believe an account has been compromised.
4. Subscriptions and billing
The Service is sold as a recurring subscription. Current plans, prices, and add-ons are listed on our website. Unless you choose a quarterly or annual term, subscriptions bill monthly in advance.
- Payment processing. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method for each billing period until you cancel.
- Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price for your plan.
- Price changes. We will give you at least 30 days’ notice before a price change applies to your subscription.
- Setup fees. Managed plans may include a one-time implementation fee, which covers catalog import, configuration, and training and is billed when setup begins.
- Taxes. Prices do not include applicable taxes, which are your responsibility.
- Failed payments. If a payment fails, we may retry the charge and may suspend access until the balance is paid.
5. Trials and money-back guarantee
Self-Service plans include a 7-day free trial. Unless you cancel before the trial ends, your subscription begins and your payment method is charged. Managed plans include a 14-day money-back guarantee on the first subscription payment, requested by emailing support@outletpricer.com within 14 days of that payment.
6. Cancellation
You can cancel your subscription at any time from your account or by emailing support@outletpricer.com. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except for the guarantee in section 5 or where required by law, payments are non-refundable, including for partial billing periods.
We may suspend or terminate your access if you materially breach these terms or fail to pay, after giving you notice and a reasonable opportunity to fix the problem where appropriate.
7. Your data
You own the pricing data, rules, and other business information you enter into the Service. You grant us a limited license to host and process that data to provide the Service. Prices you set are saved to your store’s pricing profile and are not shown to other stores. Product catalog information (such as product names, sizes, and reference retail) is maintained in a database shared across customers. Our handling of personal information is described in our Privacy Policy.
8. Acceptable use
You agree not to misuse the Service, including by attempting to access other customers’ data, interfering with the Service’s operation, reverse engineering it, reselling it without our permission, or using it in violation of any law.
9. Suggested prices and AI features
Suggested prices, including those from AI retail research, are provided to help your team decide. You are responsible for the prices you set. We do not guarantee that any suggested or reference price is accurate, current, or suitable for your business.
10. Disclaimers and limitation of liability
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, IMA LLC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, IMA LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
11. Dispute resolution
If you have a dispute with us, please first contact us at support@outletpricer.com. We will try in good faith to resolve it informally within 30 days. If it is not resolved, either party may bring the dispute in the state or federal courts located in Colorado, and both parties consent to the jurisdiction of those courts. These terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules.
12. Changes to these terms
We may update these terms. If we make a material change, we will notify account owners by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated terms.
